Terms of Service

Effective date: February 24, 2026

These Terms of Service (“Terms”) govern your access to and use of Termedora (“Service”), a product of Jagganaut Limited, a company incorporated in New Zealand (“we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Termedora is a SaaS contract renewal tracking platform that helps teams monitor software subscription renewal dates and receive automated reminders. Features include contract storage, renewal notifications via email and other channels, and team collaboration tools.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into contracts on behalf of yourself or your organisation. By using the Service, you represent that you meet these requirements.

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@termedora.com of any unauthorised use of your account. We are not liable for any loss resulting from unauthorised use of your credentials.

4. Subscription and Billing

4.1 Plans and Pricing

Termedora offers monthly ($49 USD/month) and annual ($470 USD/year) subscription plans. Pricing is per organisation. All prices are in US dollars (USD).

4.2 Free Trial

New accounts receive a 14-day free trial with access to up to 5 contracts and 5 team members. No credit card is required to start a trial. At the end of the trial period, continued access requires a paid subscription.

4.3 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually) via Stripe. By providing payment information, you authorise us to charge your payment method for the applicable fees. All charges are non-refundable except as described in Section 4.4.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period; you retain access until then. We do not provide prorated refunds for unused time. If you believe you were charged in error, contact us within 30 days at support@termedora.com.

4.5 Price Changes

We may change subscription prices with at least 30 days’ notice. Continued use of the Service after the price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload or transmit content that infringes third-party intellectual property rights
  • Attempt to gain unauthorised access to the Service or its infrastructure
  • Reverse-engineer, decompile, or otherwise attempt to extract source code
  • Use the Service to transmit spam, malware, or other harmful content
  • Resell or sublicense the Service without our written consent
  • Interfere with or disrupt the integrity or performance of the Service

6. Your Content

You retain ownership of any contracts, documents, or data you upload to the Service (“Your Content”). By uploading content, you grant us a limited, non-exclusive licence to store and process Your Content solely to provide the Service. We do not sell or share Your Content with third parties except as necessary to operate the Service (e.g., cloud storage providers).

You are responsible for ensuring you have the right to upload and store any documents you submit. We are not responsible for any content you upload.

7. Intellectual Property

The Service, including its design, software, trademarks, and content created by us, is owned by Jagganaut Limited and protected by intellectual property laws. These Terms do not transfer any intellectual property rights to you. You may not use our trademarks or branding without our prior written consent.

8. Third-Party Services

The Service integrates with third-party providers including Stripe (payment processing), Supabase (data storage), Resend (email delivery), and others. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices of these third-party services.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT NOTIFICATIONS WILL BE DELIVERED ON TIME OR AT ALL.

Termedora is a reminder tool. It is your responsibility to verify your contract renewal dates and take any necessary action. We are not liable for missed renewals, auto-renewals, or financial consequences arising from reliance on the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY NEW ZEALAND LAW, JAGGANAUT LIMITED AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

11. Indemnification

You agree to indemnify and hold harmless Jagganaut Limited and its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, or your violation of these Terms.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms, non-payment, or for any other reason with reasonable notice. Upon termination, your right to use the Service ends immediately. You may request a copy of your data within 30 days of termination by contacting support@termedora.com. After 30 days, we may delete your data.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes shall be subject to the exclusive jurisdiction of the courts of New Zealand.
